Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, applications, platforms, products, services, and related offerings provided by MN Software Solutions ("MN Software Solutions", "we", "us", or "our").

By accessing or using our services, you agree to these Terms. If you do not agree, you should not use the relevant service.

1. Scope

These Terms apply to MN Software Solutions and to our websites, software, cloud-hosted services, mobile applications, and related offerings, unless separate terms apply to a specific service.

Some services may include additional terms, notices, or product-specific requirements. If so, those additional terms will apply together with these Terms.

2. Eligibility and authority

You may use our services only if you are legally able to enter into a binding agreement and, where applicable, are authorized to act on behalf of yourself, your organization, or the customer account through which the service is provided.

If you use our services on behalf of a company, clinic, or other organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and access

Some services require an account. You are responsible for maintaining the confidentiality of your login credentials and for activities that occur under your account, unless caused by our failure to use reasonable security measures.

You agree to provide accurate information and to keep your account information reasonably up to date.

We may suspend or restrict access if necessary to protect the security, integrity, availability, or lawful operation of our services.

4. Acceptable use

You agree not to:

  • Use the services in violation of applicable law or regulation.
  • Use the services to harm, interfere with, or disrupt our systems, networks, users, or services.
  • Attempt unauthorized access to accounts, systems, or data.
  • Copy, modify, reverse engineer, distribute, or exploit the services except as allowed by law or with our written permission.
  • Use the services to upload, transmit, or store unlawful, infringing, abusive, fraudulent, or harmful content.
  • Misrepresent your identity, authority, or affiliation.

5. Customer data and user content

Depending on the service, users or customers may submit, store, manage, or make available data, records, documents, messages, or other content through our services.

You are responsible for ensuring that you have the right to use and provide any content or data submitted through the services and that your use of the services complies with applicable law and your own obligations to third parties.

We do not claim ownership of customer data or user content. However, you grant us the rights reasonably necessary to host, process, transmit, display, back up, secure, and otherwise provide the services.

6. Intellectual property

MN Software Solutions and its licensors retain all rights, title, and interest in and to the services, including all related software, designs, content, branding, features, and intellectual property rights.

Except for the limited right to use the services in accordance with these Terms, no rights are granted to you by implication or otherwise.

7. Third-party services

Some services may depend on or integrate with third-party providers, platforms, hosting services, communication tools, identity services, payment processors, app stores, or other external services.

We are not responsible for third-party services themselves, including their availability, security, content, or independent practices. Your use of third-party services may also be subject to those providers' own terms and policies.

8. Availability, changes, and support

We may modify, improve, update, suspend, or discontinue all or part of a service from time to time. We will use reasonable judgment in making operational changes, but we do not guarantee that every service or feature will always be available, uninterrupted, or error-free.

Where support is offered, it will be provided according to the relevant service arrangement, subscription, or support process.

9. Fees and payments

If a service is offered on a paid basis, pricing, billing terms, and payment obligations will be governed by the applicable order, proposal, subscription, invoice, or separate commercial agreement.

Unless otherwise stated in a separate agreement, fees paid are non-refundable except where required by law.

10. Privacy

Your use of our services is also subject to our Privacy Policy, which explains how we collect, use, and manage information.

11. Disclaimer of warranties

To the fullest extent permitted by law, our services are provided on an "as is" and "as available" basis. We do not guarantee that the services will be uninterrupted, error-free, secure against every threat, or suitable for every particular purpose.

Except as expressly stated by us in writing, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

12. Limitation of liability

To the fullest extent permitted by law, MN Software Solutions and its directors, officers, employees, affiliates, licensors, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or opportunities arising out of or related to the use of or inability to use the services.

To the fullest extent permitted by law, our total liability for claims arising out of or relating to the services or these Terms will not exceed the amount paid to us for the relevant service during the twelve months before the event giving rise to the claim, or, if no fee was paid, a reasonable nominal amount under applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded by law.

13. Indemnity

Where permitted by law, you agree to defend, indemnify, and hold harmless MN Software Solutions and its affiliates, personnel, and service providers from claims, losses, liabilities, damages, costs, and expenses arising out of your misuse of the services, your violation of these Terms, or your violation of applicable law or third-party rights.

14. Suspension and termination

We may suspend or terminate access to the services if we reasonably believe:

  • You have violated these Terms.
  • Your use creates security, legal, or operational risk.
  • Suspension is necessary to protect us, our customers, users, or third parties.
  • We are required to do so by law or by a competent authority.

You may stop using the services at any time. Termination does not affect accrued rights, payment obligations, or provisions that by their nature are intended to survive termination.

15. Governing law

These Terms are governed by the laws applicable in the jurisdiction from which MN Software Solutions provides the relevant service, unless a separate written agreement states otherwise.

Any disputes will be subject to the competent courts of that jurisdiction, unless applicable law requires otherwise.

16. Changes to these Terms

We may update these Terms from time to time. If we do, we will update the effective date above and may provide additional notice where appropriate. Continued use of a service after updated Terms become effective means you agree to the revised Terms for future use of that service.

18. Additional product-specific terms for MNForVet and MNForPet

MNForVet is a cloud-hosted veterinary practice and information management system used by veterinary clinics. MNForPet is a related mobile application that allows pet owners to access selected information and services made available by their veterinary clinics.

18.1 Role of the services

MNForVet and MNForPet are software tools intended to support clinic operations, communication, records access, appointment-related functions, and related service workflows.

MNForPet is provided as a convenience tool for pet owners to view information and interact with services made available by their clinic.

18.2 Clinic responsibility

Each veterinary clinic is responsible for:

  • The information it collects, enters, updates, manages, and makes available through the services.
  • Its relationships with pet owners and other end users.
  • Its own policies, professional obligations, pricing, billing, scheduling, and service decisions.
  • Compliance with laws and regulations that apply to the clinic's operations and records.

MN Software Solutions provides the software platform, but does not control the clinic's professional decisions, recordkeeping obligations, or customer relationships.

18.3 No veterinary advice

MNForVet and MNForPet do not provide veterinary advice, diagnosis, treatment, emergency care, or other professional clinical services.

Any medical, clinical, treatment, or care-related information made available through these services is provided by or on behalf of the relevant veterinary clinic.

If you have an urgent concern about a pet's health or need professional advice, you should contact the relevant veterinary clinic or an appropriate emergency veterinary provider directly.

18.4 Appointments, invoices, and records

Appointment requests, schedules, invoices, balances, prescriptions, laboratory results, imaging results, and similar information shown through MNForVet or MNForPet depend on the records and actions of the relevant clinic.

MN Software Solutions does not guarantee that clinic-provided information is complete, current, or error-free at all times.

18.5 Authentication and security

Access to MNForVet and MNForPet may rely on third-party identity and authentication services, including Auth0, to support account registration, sign-in, and secure access management.

18.6 Account deletion and retained clinic records

Deletion of an MNForPet app account may remove or deactivate the user's mobile access, login, and related app-level access.

However, records maintained by the clinic in MNForVet or related clinic systems, including pet records, appointment history, prescriptions, invoices, and similar clinic records, may remain with the clinic according to its business, care, legal, and recordkeeping obligations.

18.7 App stores

If you download or use MNForPet through the Apple App Store or Google Play, you also acknowledge that those platforms may apply their own terms, conditions, and usage rules in addition to these Terms.
